Terms of Service

Welcome to Nestr! These Terms of Service ("Terms") govern your access to and use of the Nestr mobile application and website at https://nestrapp.com (collectively, the "Service"), operated by Nestr Financial LLC ("Nestr", "we", "us", or "our").

By creating an account or using Nestr, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

1. Acceptance of Terms

By accessing or using Nestr, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you are using Nestr on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Eligibility

To use Nestr, you must:

• Be at least 18 years old
• Have the legal capacity to enter into a binding contract
• Not be prohibited from using the Service under applicable laws
• Reside in a jurisdiction where Nestr is available

Nestr is NOT intended for users under 18 years of age. If we discover that a user is under 18, we will immediately terminate their account.

3. Account Registration & Responsibilities

3.1 Account Creation

When you create a Nestr account, you agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Create only one account per person
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access to your account

3.2 Account Security

You are fully responsible for all activity that occurs under your account. Nestr is not liable for any losses resulting from unauthorized use of your account.

3.3 Prohibited Account Actions

• Sharing, selling, or transferring your account
• Creating multiple accounts for fraudulent purposes
• Impersonating another person or entity
• Using fake or misleading information

4. Acceptable Use Policy

You agree to use Nestr only for lawful purposes. You may NOT:

• Engage in fraud: Scam users, create fake groups, or misappropriate funds
• Money laundering: Use Nestr to launder money or finance illegal activities
• Harassment: Harass, abuse, threaten, or bully other users
• Spam: Send unsolicited messages or invitations
• Violate laws: Use Nestr in violation of any local, state, federal, or international law
• Circumvent security: Attempt to hack, reverse-engineer, or compromise the Service
• Scrape data: Use automated tools to extract data from Nestr
• Inappropriate content: Post obscene, offensive, or illegal content

Violation of this policy may result in immediate account termination, legal action, and reporting to law enforcement.

5. Savings Groups & User Responsibilities

5.1 Group Organizers

If you create a savings group, you are responsible for:

• Setting clear group terms (contribution amount, payout schedule, rotation order)
• Managing group members and resolving disputes
• Ensuring fair and transparent payout distribution
• Complying with all applicable financial regulations

5.2 Group Members

By joining a savings group, you agree to:

• Make timely contributions as scheduled
• Abide by the group's rules and payout schedule
• Communicate with group organizers and members respectfully
• Accept the risk of group member default or non-payment

5.3 Nestr's Role

Nestr is a platform that facilitates savings groups. Nestr:

• Does NOT guarantee payouts or member participation
• Is NOT responsible for disputes between group members
• Does NOT act as a bank, lender, or financial institution
• May provide tools for dispute resolution (e.g., Trust Score, moderation)

You participate in savings groups at your own risk.

6. Subscription Plans & Payments

6.1 Subscription Tiers

Nestr offers multiple subscription tiers, including a free tier and paid subscription options. Subscription features, pricing, and tier details are available in the app and on our website. We reserve the right to modify subscription tiers, features, and pricing with advance notice.

6.2 Billing & Auto-Renewal

• Subscriptions are billed monthly in advance
• Subscriptions auto-renew unless you cancel before the next billing cycle
• You authorize Nestr (via Stripe) to charge your payment method on file
• If payment fails, your subscription may be downgraded or suspended

6.3 Cancellation

You may cancel your subscription at any time via:

• In-app: Settings → Subscription → Cancel
• Email: support@nestrapp.com

Cancellation takes effect at the end of the current billing period. You will retain access to paid features until then. No refunds are provided for partial months.

6.4 Payment Processing

All payments are processed by Stripe, a third-party payment processor. By making a payment, you agree to Stripe's Terms of Service.

Nestr does NOT store your credit card information. Payment data is securely stored by Stripe (PCI-DSS compliant).

6.5 Price Changes

Nestr reserves the right to change subscription prices with 30 days' notice via email and in-app notification. You may cancel before the price change takes effect.

7. Contributions, Payouts, & Refunds

7.1 Group Contributions

• Contributions are non-refundable once submitted to a group
• Contributions are held by Stripe until payout distribution
• You are responsible for ensuring sufficient funds in your payment method

7.2 Payouts

• Payouts are distributed according to the group's rotation schedule
• Payouts are sent to your linked bank account via Stripe Connect
• Payout timing depends on your bank (typically 1-3 business days)
• Nestr is NOT responsible for delays caused by banks or Stripe

7.3 Refund Policy

Refunds are provided only in the following cases:

• Group Cancellation: Full refund if the group is canceled before any payouts are processed
• Fraud/Error: Refund if a contribution was made due to fraud or a technical error
• Subscription Fees: No refunds for partial months; cancel anytime for future billing

7.4 Disputes

Payment disputes (chargebacks) are handled via Stripe's dispute resolution process. If you dispute a charge, your account may be suspended pending investigation.

8. Financial Disclaimers

Nestr is a platform that connects users for group savings. We facilitate payments via Stripe but do not hold funds ourselves. All funds are held by Stripe until distribution.

9. Limitation of Liability

To the maximum extent permitted by law, Nestr Financial LLC, its officers, directors, employees, and affiliates shall NOT be liable for:

• Indirect, incidental, or consequential damages (lost profits, data loss, etc.)
• User disputes: Conflicts between group members
• Payment failures: Failed contributions, payout delays, or bank issues
• Group failures: Group member defaults, fraud, or non-payment
• Third-party services: Issues with Stripe, Supabase, Vonage, or other providers
• Service interruptions: Downtime, maintenance, or technical issues
• Data loss: Loss of user data due to technical failures

Maximum Liability: In no event shall Nestr's total liability to you exceed the total amount you paid to Nestr in the past 12 months.

THE SERVICE IS PROVIDED "AS-IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10. Indemnification

You agree to indemnify, defend, and hold harmless Nestr Financial LLC, its officers, directors, employees, and affiliates from any claims, liabilities, damages, losses, or expenses (including legal fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any law or third-party rights
• Your participation in savings groups
• Disputes with other users

11. Intellectual Property

11.1 Nestr's IP

All content, features, and functionality of the Service (including but not limited to text, graphics, logos, icons, images, software, and code) are the exclusive property of Nestr Financial LLC and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use Nestr for personal, non-commercial purposes.

11.2 User Content

You retain ownership of any content you post on Nestr (profile information, messages, reviews, etc.). However, by posting content, you grant Nestr a worldwide, royalty-free, non-exclusive license to use, display, reproduce, and distribute your content within the Service.

You are responsible for ensuring that your content does not violate any laws or third-party rights (copyright, trademark, privacy, etc.).

11.3 Prohibited Uses

• Copying, modifying, or reverse-engineering the Service
• Using Nestr's trademarks or branding without permission
• Creating derivative works or competing products

12. Termination & Suspension

12.1 Termination by You

You may delete your account at any time by:

• In-app: Settings → Account → Delete Account
• Email: support@nestrapp.com

12.2 Termination by Nestr

Nestr reserves the right to suspend or terminate your account immediately, without notice, if you:

• Violate these Terms or the Acceptable Use Policy
• Engage in fraudulent, illegal, or abusive behavior
• Pose a security or legal risk to Nestr or other users
• Have an account inactive for an extended period (2+ years)

12.3 Effect of Termination

• Access to your account and the Service is immediately revoked
• Outstanding financial obligations (subscriptions, group contributions) remain due
• Personal data is deleted per our Privacy Policy
• Sections of these Terms that should survive (Liability, Indemnification, Disputes) remain in effect

13. Dispute Resolution & Governing Law

13.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.

13.2 Informal Resolution

Before filing a lawsuit or claim, you agree to first contact Nestr at support@nestrapp.com to attempt to resolve the dispute informally. We aim to resolve disputes within 30 days.

13.3 Jurisdiction

Any legal action arising out of or relating to these Terms or the Service shall be filed exclusively in the state or federal courts located in Dallas County, Texas. You consent to the personal jurisdiction of such courts.

13.4 Class Action Waiver

You agree to resolve disputes with Nestr on an individual basis only. You waive your right to participate in class actions, class arbitrations, or representative proceedings.

14. Changes to These Terms

Nestr reserves the right to modify these Terms at any time. When we make changes, we will:

• Update the "Last Updated" date at the top of this page
• Notify you via email and/or in-app notification at least 30 days before changes take effect
• For material changes, require your explicit acceptance to continue using the Service

Continued use of Nestr after the effective date constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service and delete your account.

15. Miscellaneous

15.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Nestr regarding the Service.

15.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

15.3 Waiver

Nestr's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms or your account without Nestr's prior written consent. Nestr may assign these Terms without restriction.
